About
To further promote the School and to enhance its status as a leading independent school for girls a petition was made to King George VI to grant the School a Royal Charter of Incorporation. His Majesty granted the School a Royal Charter on 14th December 1938.
Writing at the time, Sir Paul Lawrence (brother of the founders) said:
“The grant of a Royal Charter to a Public School proclaims to the world that it is a first-rate school in every respect. It behoves everyone interested in its success to redouble his or her effort to keep up its high tradition and good name and make it more successful than ever.”
With the Royal Charter the School changed from being a limited company to a corporation. The Royal Charter laid down the new Corporation’s objects and byelaws. The objects included “a School for Girls in which they may receive a sound education including physical and moral training.” The byelaws stipulated how the School would be governed. The members of the Corporation were termed Governors and the business and affairs of the Corporation were to be managed by a Council.
The Corporation holds an Annual General Meeting at which members (Governors) consider the annual accounts and report of the Council and election of the auditors. The members (Governors) of the Corporation are responsible for appointing a President and Vice-Presidents of the Corporation in a general meeting.
Governors are either Old Roedeanians (ORs), or current or former members of Council.
Since 4th August 1966 the School has been a registered charity. The members of the Council are the charity’s Trustees.
The Interim Chair of Council is Ms Delva Patman.
The Clerk to the Council is Sara Hinchliffe.

The Alumnae Office is established to maintain the spirit instilled by the School’s Founders, uphold the School’s reputation, offer support and aid to the institution, and foster connections between alumnae and the School, as well as among alumnae themselves.

The 2022 Annual General Meeting of Roedean School was held on Wednesday 15 June 2022 at 6pm at The Caledonian Club, SW1X 7DR. During the meeting it was adjourned, and the Re-convened meeting took place on Wednesday 29 March 2023 also at The Caledonian Club, SW1X 7DR.

Approval of the Minutes of the EGM held on 15 September 2021: The minutes were approved by a majority of Governors in attendance.

Approval of the Minutes of the AGM held on 7 October 2021: The minutes were approved unanimously by the Governors in attendance.

Resolution to Appoint Mary Henderson OR as President of the Corporation for a period of three years: Mary Henderson was approved unanimously by the Governors in attendance.

Receive and consider the Accounts of the Corporation and Annual Report of Council for the Financial Year Ended 31 August: both documents were received and considered.

Resolution to approve the appointment of Haysmacintyre LLP as the Corporation’s Auditors for a term of twelve months: The appointment of the auditors was approved unanimously by the Governors in attendance.

Election of Trustees (Members of Council): Victoria Jenkins OR was re-elected and Dr Nichola Khan elected, both by a majority of Governors in attendance.

Election of Governors: The one applicant to become Governor was approved by a majority of Governors in attendance.
